1. EXECUTIVE SUMMARY


Ukraine's Business Potential: Europe's Emerging Tiger investment conference was a joint initiative of PricewaterhouseCoopers Ukraine/Germany and CFC Consulting. It addressed the political and macroeconomic situation in Ukraine, Ukraine's investment climate, the impact of EU enlargement on Ukraine, the legal framework for FDI in Ukraine, privatization and Ukraine's financial sector. It gathered representatives of the Ukrainian and German governments and regulatory bodies, diplomatic and consular corps as well as leading Western European and Ukrainian corporations. Participating companies included Bosch Ukraine, Commerzbank AG, SAP AG, ING Bank Ukraine, UBS Investment Bank, Ukraine International Airlines, Kreditanstalt fur Wiederaufbau, Foyil Securities, Horizon Capital, E.ON Ruhrgas AG, and Ukrainian Gas Distribution Networks Concern. Supported by the European Business Association, the Committee on Eastern European Economic Relations (Ost-Ausschuss) and the Ukrainian Ministry of Foreign Affairs, the conference set a new qualitative standard which properly reflects the opportunities inherent in Ukraine since the Orange Revolution

The investment conference has received substantial media coverage in Ukraine and internationally. Media that covered the event included such Ukrainian outlets as: weekly business magazines Companion and Business, anylytical newspaper Mirror Weekly, news agencies Interfax, Unian, Ukrinform, LigaBusinessInform, RIANovosti, TV Channels Inter and UT-1 TV, RFE/RL, etc.; Internationally, it was covered by Yahoo! The event has generated great interest among German and Ukrainian political and business circles committed to fostering bilateral German-Ukrainian commercial and political relations. According to the experts, high quality of the speakers at the conference provided the participants with the comprehesive intelligence on Ukraine's current business and political trends, investment opportunities and challenges. Such renowned individuals as H.E. H.E. MR. DIETMAR STUEDEMANN - EXTRAORDINARY AND PLENIPOTETIARY AMBASSADOR OF THE FEDERAL REPUBLIC OF GERMANY TO UKRAINE

Ambassador Stuedemann started diplomatic service in 1974, when he served for 4 years at the Federal Ministry of Foreign Affairs. From 1977 to 1981 he worked as Head of the Press Department at the German Embassy in Moscow, from 1981 to 1984 at the Embassy in Athens, from 1986 to 1988 at the Embassy in Vienna, from 1991 to 1997 at the Embassy in Moscow (Head of Political Department). Mr. Stuedemann started working as the German Ambassador to Ukraine in September 2000 and has been occupying this position to date.




MS.JELENA HOFFMAN - MEMBER OF THE GERMAN BUNDESTAG, SOCIAL DEMOCRATIC PARTY OF GERMANY

Ms. Hoffman has been a member of the German Bundestag since 1994, where she currently occupies the post of Deputy Chairwoman of the German-Ukrainian Parliamentary group (since 2002). Ms. Hoffman previously served as a member of the Parliamentary Assembly of the Black sea Economic Cooperation, Deputy Member of the Parliamentary Assembly of the Council of Europe, as well as holds a number of positions in the German Bundestag (Deputy Member in the Committee on Economics and Labour, Member of the Committee on Tourism, Member of the Committee on Foreign Affairs and the subcommittee on Globalization and Member of the Steering Committee of the SPD- Group).


MR. MYKHAILO HLADIY - MEMBER OF THE UKRAINIAN PARLIAMENT

Mr. Hladiy is currently a member of the Ukrainian Parliament, where he occupies the post of Deputy Chairman of the Commission on agricultural policy and land issues (since 2002). Mr. Hladiy is also a member of the Permanent Delegation of the Ukrainian Parliament to PACE (since 2002), a member of Cabinet of Minister's Commission on Local Government, a member of the Internal Affairs Coordination Council and State Commission on Economic and Social Development and President of the Agricultural Association of Ukraine. Mr. Hladiy's tenure in the Parliament began in 2002, prior to which he had been the Head of the Lviv State Administration from 2001 to 2002.

MR. IHOR SHUMYLO - DEPUTY CHARMAN OF THE NATIONAL BANK OF UKRAINE

MR. Shumylo holds the post of the Deputy Chairman of the National Bank of Ukraine and serves as NBU's Executive Director on Economic Policy (since 2003). Previously Mr. Shumylo worked at the Ministry of Economy and European Integration as Deputy Minister of Economy (since 1997) and Head of Department (since 1993), as well as conducted numerous research works at the Scientific Institute of Ukraine's Ministry of Economy (1973-1993).

MR. ANATOLIY BALYUK - CHAIRMAN OF THE STATE COMMISSION ON SECURITIES AND STOCK MARKET

Mr. Balyuk has served as the Chairman of the State Commission on Securities and Stock Market of Ukraine since 25 June 2004. He has started his public carrier in the Ministry of Economy of Ukraine in 1997 as the Head of External Relations Department. From July 1997 to May 1998 Mr. Balyuk served as Assistant Prime Minister of Ukraine, and from May 1998 to December 1999 as First Assistant Prime Minister of Ukraine. Before his appointment as the Chairman of the State Commission on Securities and Stock Market Mr. Balyuk served as Advisor to the President.

MR. OLEXANDER MELNYCHENKO - DEPUTY CHAIRMAN OF THE ANTIMONOPOLY COMMITTEE OF UKRAINE

Mr. Melnychenko has graduated from the Kyiv State Shevchenko University and worked as a Judge of the Zhovtnevyi Regional Court of Kyiv and a Judge of the Kyiv City Court. Mr. Melnychenko was appointed Deputy Head of Antimonopoly Committee in 1993 and First Deputy Head in 2001. Mr. Melnychenko carries the rank of a Distinguished Lawyer of Ukraine.








MR. WOLFGANG WAGNER - SENIOR PARTNER, PWC CONTINENTAL EUROPE

Mr. Wagner has been the Senior Partner, Continental Europe and member of the Global Leadership Team of PwC since July 2003. He has been a member of the German firm-wide Management Team and the German Executive Management Team since 1998. Wolfgang has been with the firm since 1982. Prior to his current role, Wolfgang held cross-line of service responsibility for Assurance, Tax and Advisory in the Berlin region from 1996 to 1998 and served as the German Corporate Finance & Recovery Leader and Chairman of the wider European Network from 2001 - 2003. Wolfgang is Chairman of a standard setting body of the German Institute of CPAs (IDW). He is also a noted speaker at the Humboldt University in Berlin, where he frequently addresses issues relating to audit and advisory services. Wolfgang received his MBA from the University of Saarland. He is married and has two children.








MR. JORGE E. INTRIAGO - VICE PRESIDENT OF THE EUROPEAN BUSINESS ASSOCIATION, PARTNER PWC UKRAINE

Mr. Intriago is Vice-President of the Board of Directors of the European Business Association (EBA) and Partner and Leader of the Tax and Legal Practice of PwC (PwC) in Ukraine. Mr. Intriago has close to 20 years experience with PwC of which the last 9 years have been in Ukraine. While in Ukraine Mr. Intriago has assisted many multinationals to analyze investment opportunities and develop Ukrainian business, legal and tax strategies. Mr. Intriago is a member of PwC Mergers and Acquisitions Group and PwC European Capital Markets and Treasury Group. As such he has broad expertise in M&A and investment issues, and thus has structured and implemented many large M&A deals in Ukraine as well as Greenfield and Brownfield investment projects. In the M&A area he has participated and supervised teams on preliminary deal negotiations, legal and tax due diligence, final deal negotiations and execution, including competition law issues and contract drafting. Mr. Intriago has been a Vice-President of the Board of Directors of the European Business Association (EBA) since 2002 a position, which he currently holds. Until January 2004 he was also advisor to the Minister of Economy and European Integration on foreign investments issues. He lectures and writes frequently on investment and taxation in Ukraine, both in domestic and international forums.








PROF. DR. BOHDAN HAWRYLYSHYN - CHAIRMAN OF SUPERVISORY BOARD OF INTERNATIONAL CENTER FOR POLICY STUDIES, MEMBER OF THE CLUB OF ROME

Mr. Hawrylyshyn was born and grew up in Ternopilska oblast. Finished secondary school in Germany, engineering school at the University of Toronto with Masters degree, Management studies in IMI-Geneva, Doctorate in economic and social studies at the University of Geneva. Five honorary doctorates. Worked as engineer, manager, professor, then director of the International Management Institute - Geneva. Since 1989 works in Ukraine on a voluntary basis. Former chairman of the Council of Advisors to the Presidium of the Ukrainian Parliament, advisor to the first President of Ukraine, advisor to chairmen of parliament (including the present one), former advisor to Prime Ministers Yushchenko and Kinakh, founder and chairman of the International Management Institute - Kyiv, chairman of the International Center for Policy Studies, member of the Club Rome, of World Academy of Arts and Sciences.

MR. ANDRIY KARPENKO - PRESIDENT, UKRAINIAN GAS DISTRIBUTION NETWORK

Mr. Karpenko holds a degree in International Economics from the Ukrainian National Economic Institute and Inter-Regional Academy of Personnel Management. Besides being the President of the Ukrainian Gas Distribution Network, Mr. Karpenko serves as Chairman of the Board of Gaztek Holding, a company that is one of the key players on the gas distribution market of Ukraine.

MR. LUDEK SMIDA - MANAGING DIRECTOR, BOSCH UKRAINE

Mr. Smida is the Managing Director of Robert Bosch Ukraine Ltd., and has been occupying this post since 2002, managing the work of more than 100 employees in Ukraine and the financial turnover of more than 105 million euro. Mr. Smida has been working with Bosch in Europe since 1994 (2000-2002 in Stuttgart, 1994-2000 in Prague). Mr. Smida is a graduate of the Prague Technical University (Faculty of Economics), has completed more than 30 internal Bosch training programs and is fluent in Russian.

MR. ALEXANDER RAHR - PROGRAM DIRECTOR, KOERBER CENTER

Mr. Rahr is program director of the K?rber-Arbeitsstelle for Russian and CIS affairs, which is a joint institution of the K?rber-Foundation, Hamburg, and the German Council on Foreign Relations. He is also the coordinator of the institute's EU-Russia Forum. Before joining the Institute in 1994, he was a senior analyst at the Research Institute of Radio Free Europe/Radio Liberty, Munich and project manager at the Federal Institute for East European and International Studies, Cologne. He has worked as a frequent consultant for the Rand Corporation, Santa Monica; Institute of East-West-Security Studies, New York; Council of Europe. He has also worked for "Deutsche Welle" TV and radio programs and has published numerous articles in the German, Russian and international press. He is a frequent guest at political TV shows and regularly writes for "Die Welt" and other newspapers. He is the author of biographical books of Michael Gorbachev (1986) and Vladimir Putin (2000), coauthor of the Trilateral Commission Report on Central Asia (2000). He holds a M.A. in History and Political Sciences from Munich State University. He was awarded the Federal Merit Cross (2003).

DR. KIRK MILDNER - REGIONAL MANAGER KfW DEVELOPMENT BANK

Kirk Mildner is Senior Regional Manager for the Western Balkans and Senior Economist for Eastern and South Eastern Europe at KfW Development Bank. He recently spent 4 years in the Ukraine, heading KfW's Kiev office. During that time he was involved mostly in macroeconomic advice, financial sector development, microfinance and support of SMEs. He has published extensively on problems of economic transition in Eastern Europe. Kirk graduated from the Free University, Berlin, received a Master's degree from St. Andrews University and a PhD from Humboldt University Berlin.

MS. NATALIE A. JARESKO - MANAGING PARTNER, HORIZON CAPITAL

Natalie A. Jaresko is responsible for the strategic development of Horizon Capital and its private equity investment team, along with management of Western NIS Enterprise Fund (WNISEF), a $150 million private equity fund, and Emerging Europe Growth Fund (EEGF), a $100 million mid-cap private equity fund being raised for Ukraine and Moldova. She is currently leading this fundraising process.

During the last ten years, Ms. Jaresko set long-term business goals, and attracted capital to expand business opportunities for Western NIS Enterprise Fund. Ms. Jaresko's broad experience in both the private and public sectors enabled WNISEF to successfully navigate complex economic cycles and business environments in the region, while maintaining a clear focus on building profitable market leaders in a wide variety of industries.

During her tenure, WNISEF built a $93 million portfolio that included twenty six companies in the region. To date, WNISEF has realized 11 full realizations and six partial realizations. Ms. Jaresko has served as President and CEO of WNISEF since 2001, Chief Investment Officer from 1997-2001, and as Country Manager Ukraine for WNISEF since 1995. She has worked in Ukraine since 1992 and in the region since 1989.

Ms. Jaresko received her Master's Degree in Public Policy from the Harvard University Kennedy School of Government in 1989 and a Bachelor of Science Degree in Accounting from DePaul University in Chicago, Illinois in 1987. Ms. Jaresko serves as Vice Chairperson on the Board of Directors of the International Management Institute (IMI-Kyiv), the first business school in Ukraine.

MR. DORIAN FOYIL- CHAIRMAN, FOYIL SECURITIES

Dorian B. Foyil is Chairman and Chief Executive Officer of Foyil Limited, the parent company of Foyil Securities and Foyil Asset Management. Foyil Securities has become the leading Investment Bank in Ukraine known for its detailed and probing investment research. Mr. Foyil began his investment career in London and was a number one rated (1990 Extel Survey) investment analyst covering the European electronics and telecommunications sectors for UBS Securities. Thereafter, he had a five year tenure as a Senior Vice President and Portfolio Manager at Templeton Global Advisors, where he had direct portfolio responsibility for approximately $800 million in mutual fund and institutional pension assets.

In 1996, Mr. Foyil established the Foyil Group of companies and in 1997 opened its office in Kyiv, Ukraine. Mr. Foyil holds an MBA in finance from the Wharton School of Business and received his Bachelor's Degree from Temple University. In 2003 Mr. Foyil established the Center for the Protection of Minority Shareholder Rights and is an active proponent of bringing improved corporate governance to companies in Ukraine. He has served as both President and a member of the Board of Directors of the Bahamas Society of Financial Analysts.

MR. PER FISCHER - SENIOR VICE PRESIDENT, COMMERZBANK

Mr. Fischer is currently the Senior Vice President of Commerzbank. He joined the Bank in 1985 and in 1988-1992 served as Deputy Representative of Commerzbank AG in Moscow. In 1993-1996 Mr. Fischer served as Area Manager for CIS, Baltic States and Mongolia in the Head Office in Frankfurt. In addition to his current post, Mr. Fischer is a member of the Supervisory Board of Commerzbank Eurasia and Deputy Chairman of the Board of German-Kazakh Society (Berlin). Mr. Fischer is fluent in Russian.

MS. VALERIA GONTAREVA, DEPUTY CHAIRMAN, ING BANK UKRAINE

MR. VOLODYMYR BOGATSKYI, VICE-PRESIDENT, UKRAINE INTERNATIONAL AIRLINES

Mr. Bogatskyi has graduated from Kiev Polytechnic Institute (engineering) in 1996 and Civil Aviation University (economics) in 1998. He has become a member of the ACCA in 2004. Mr. Bogatskyi worked for Ukraine International Airlines in different areas of Finance during 1998-2003. He occupied a position of Finance Controller at Nestle Ukraine during 2003-2005. He returned to Ukraine International Airlines in 2005 to take over a position of Vice-president for Finance (CFO).

MR. DMITRIY MARTYNENKO - SENIOR LAWYER, PWC UKRAINE

Mr. Martynenko is a senior attorney with PwC Legal Group in Ukraine. The areas of his specialization include mergers & acquisitions transactions, legal due diligence projects, corporate issues, privatisation, insolvency and bankruptcy procedures, capital markets and operations with securities, antitrust issues, operations with real estate and land. He has provided legal advice to the government of Ukraine and other governmental authorities, to foreign investors and Ukrainian companies in energy, telecommunications, financial markets and agriculture sectors. Dmitry holds a diploma in Law from Kiev State University. He also holds Investment Manager Certificate (Association of Securities Traders), and Depository Activity Specialist Certificate (Ukrainian Institute of Capital Markets Development under the State Securities and Stock Market Commission of Ukraine).

MR. KOSTYANTYN EMELYANENKO - SENIOR MANAGER, PWC UKRAINE

Mr. Emelyanenko is a senior manager in a PwC Tax and Legal Services and the Ukrainian Legal Group leader. He first joined PwC's tax and legal practice in 1995. Throughout his career, Konstantin has focused on various aspects of Ukrainian tax and foreign investment law and developed a comprehensive understanding of the nuances of current legislation. He has worked with multinational clients to minimise tax risks and establish Ukrainian operations. Konstantin is responsible for providing legal advice to both domestic and multinational clients. He has also worked on several tax and legal reviews for Ukrainian and international clients, including tax and legal due diligence reviews of Ukrainian companies for foreign investors. While working for PwC, Konstantin has also facilitated the registration of representative offices and other legal entities in Ukraine. Konstantin holds a M.A. in Law from Kiev State University.

MR. OLEG TYMKIV - DIRECTOR, TRANSACTION SERVICES, PWC UKRAINE

Mr. Tymkiv is the PwC Ukrainian Transaction Services Group Leader. Since joining PwC in 1997, he has worked with clients in many areas related to investment into Ukraine and ongoing operations. He has a wide range of experience in providing investment advice, audit, accounting, due diligence and compilation related services to both national and multinational clients. He has participated in a number of assignments in insurance sector as well as food and beverage, energy and mining, consumer products, pharmaceutical and telecommunications industries.
